Terms of Service

These Terms constitute a legally binding agreement between you ("User", "you") and Ataraxy ("Ataraxy", "we", "us", "our"). By creating an account, joining our waitlist, or otherwise accessing or using the Service in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you individually and that entity.

Ataraxy is a platform that provides tools and services to help users manage, organize, and grow their digital presence. The Service may include, without limitation, account management features, analytics, scheduling, content tools, and integrations with third-party platforms including Meta (Facebook and Instagram).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

The Service is currently in a pre-launch / waitlist phase. Features described are subject to change prior to and following the public launch.

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the applicable age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to these Terms on your behalf.

By using the Service, you represent and warrant that:

• You meet the age requirements described above
• You are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country
• You have not been previously suspended or removed from the Service
• Your use of the Service does not violate any applicable law or regulation

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it up to date
• Maintain the security of your password and accept responsibility for all activity that occurs under your account
• Notify us immediately at info@ataraxyapp.com if you suspect any unauthorized use of your account
• Not share your account credentials with any third party or permit others to use your account
• Not create more than one account per person without our express written permission

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where practicable.

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Violate any applicable local, national, or international law or regulation
• Use the Service to transmit unsolicited commercial communications (spam)
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Engage in any activity that interferes with or disrupts the Service or servers connected to the Service
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
• Reverse engineer, decompile, or disassemble any software component of the Service
• Use the Service to infringe upon the intellectual property rights of others
• Collect or harvest any personally identifiable information from the Service without authorization
• Use the Service in any manner that could damage, disable, overburden, or impair the Service
• Circumvent, disable, or otherwise interfere with security-related features of the Service

We reserve the right to investigate and take appropriate legal action against anyone who violates this section, including removing content and terminating accounts.

The Service and its original content, features, functionality, design, logos, trade names, and trademarks are owned by Ataraxy and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Nothing in these Terms grants you any right to use the Ataraxy name, logo, or other trademarks without prior written consent.

Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us without compensation or attribution to you, and by providing such feedback you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose.

The Service may allow you to upload, submit, or share content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Ataraxy a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display that content solely to the extent necessary to provide and improve the Service.

You represent and warrant that:

• You own or have the necessary rights to the User Content you submit
• Your User Content does not violate any third-party rights, including intellectual property or privacy rights
• Your User Content complies with these Terms and all applicable laws

We reserve the right to remove User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise objectionable.

The Service may allow you to connect and interact with third-party platforms and services, including Meta Platforms (Facebook and Instagram). Your use of these integrations is subject to the terms and privacy policies of those third parties, in addition to these Terms.

Regarding Meta integrations specifically:

• We access only the Meta permissions you explicitly grant
• We use Meta Platform Data only as permitted by Meta's Platform Terms and Developer Policies
• We do not sell Meta Platform Data
• You may revoke our access to your Meta account at any time through Facebook or Instagram account settings
• Meta is not a party to these Terms and bears no responsibility for the Service

We are not responsible for the content, accuracy, or practices of any third-party services and we disclaim all liability in connection with your use of them.

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Service, you agree to the collection and use of information as described in the Privacy Policy.

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

• You authorize us (or our payment processor) to charge the payment method you provide on a recurring basis
• Subscription fees are billed in advance and are non-refundable except as required by law or as described in our refund policy
• We reserve the right to change subscription prices with at least 30 days' notice to active subscribers
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• We are not responsible for any fees or charges imposed by your bank or payment provider

All prices are displayed in USD unless otherwise stated. Applicable taxes may be added.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

In no event shall our total liability to you for all claims exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Ataraxy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Cause for termination includes, without limitation, violation of these Terms, requests by law enforcement, extended inactivity, or unexpected technical issues.

You may terminate your account at any time by contacting us at info@ataraxyapp.com.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 11, 12, 13, and 15.

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in the jurisdiction where Ataraxy operates for the resolution of any disputes.

Before filing any formal legal claim, you agree to attempt to resolve any dispute informally by contacting us at info@ataraxyapp.com. We will attempt to resolve the dispute informally within 30 days.

If you are an EU consumer, you retain the right to bring proceedings in the courts of your country of residence and to benefit from the mandatory provisions of local consumer protection law.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email (if registered) and update the "Last updated" date at the top of this page. We may also post a prominent notice on the Service.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the new Terms, you must stop using the Service.
